1. About these terms

This website is operated by KyperX Pty Limited, ABN 59 619 985 036 (“KyperX”, “we”, “us”). These terms are the conditions on which the site is made available. By using kyperx.com you accept them; if you do not accept them, please do not use the site. They govern access to this website only and are not a services agreement — see clause 4.

2. Using this site

You may read, print and share this site’s pages for your own information and for legitimate business purposes. You may not interfere with the site’s operation or security, attempt to gain unauthorised access to it, or use it in a way that breaches any law.

3. The information here is general

This site describes what KyperX works on. It is published for general information. It is not technical, engineering, financial, investment or legal advice, and it is not a substitute for advice that takes your own circumstances into account. Do not rely on it as the sole basis for a decision.

4. No relationship is created by using this site

Use of this website, submission of an enquiry or communication with KyperX does not by itself create a client, adviser, fiduciary, partnership, joint-venture, employment or other professional relationship, or oblige either party to proceed with a transaction or project. Any services, project work, confidentiality obligations, intellectual-property rights and commercial terms must be set out in a separate written agreement.

5. Confidential information

Do not submit confidential, proprietary or security-sensitive information through the website unless KyperX has agreed in writing to receive it on a confidential basis. Submitting an enquiry does not by itself create a confidentiality obligation, without limiting any obligation imposed by law or an existing written agreement.

6. Development and concept content

This is the most important thing to understand about this site.

KyperX works across commercial capability and earlier-stage development, and the site labels which is which. Where content carries a maturity label such as CONCEPT & REQUIREMENTS DEFINITION or CONCEPT & PRELIMINARY ANALYSIS, that content describes analysis and development direction, not a product, a built system, or a commitment to build one.

Specifically, and without limiting the above:

• A concept described on this site is not a prototype, a pilot or a deployment.
• Nothing on this site is a representation that any development work will be completed, will perform as described, or will reach commercial availability.
• No timeline, capacity, throughput, cost, saving or emissions outcome is committed to anywhere on this site.
• Statements about what KyperX is investigating or intends to develop are forward-looking. They reflect a current view and are subject to technical, commercial and regulatory factors, many of them outside our control.

Only content labelled COMMERCIAL TODAY describes something you can engage KyperX for now.

7. No offer of securities or financial products

Nothing on this site is an offer, invitation or recommendation to subscribe for, buy or deal in any security or financial product, and nothing on it should be read as one. The site does not take account of anyone’s investment objectives, financial situation or needs.

The enquiry types on our contact page include corporate and investment enquiries. Selecting one starts a conversation; it does not create any offer, agreement or obligation on either side.

8. KyperX Capital is a distinct business activity

KyperX Capital is a registered business name and distinct public-markets investment activity operated by KyperX Pty Limited. It is separate from KyperX’s technology, engineering and industrial-development activities, but it is not a separate legal entity. KyperX Capital does not finance KyperX technology or industrial development, and references to it on this site are for corporate completeness only. Nothing on this site is an offer or promotion of a KyperX Capital financial product or service.

9. Intellectual property

The content of this site — text, diagrams, layout, the KyperX name and mark — is owned by or licensed to KyperX and is protected by copyright and other laws. You may not reproduce it for commercial purposes, or present it as your own, without our written permission. The typefaces used on this site are licensed under the SIL Open Font License 1.1. Third-party materials remain subject to their applicable licence terms.

10. Links to other sites

This site links to other KyperX properties and, occasionally, to third-party sites. We are not responsible for the content, availability or practices of any site we link to, and a link is not an endorsement.

11. Availability

We aim to keep this site available and accurate, but we do not guarantee that it will be uninterrupted, error-free, or current at any given moment. We may change, suspend or withdraw any part of it without notice.

12. Liability

Nothing in these terms excludes, restricts or modifies any guarantee, right, remedy or liability under the Australian Consumer Law or another law that cannot lawfully be excluded, restricted or modified.

Subject to those rights and to the maximum extent permitted by law, KyperX does not warrant that the website or its general informational content is complete, current, error-free or suitable for a particular purpose. KyperX is not liable for indirect, special or consequential loss arising solely from use of or reliance on this website. This clause does not govern liability under a separate written agreement with KyperX.

13. Privacy

Personal information collected through this site is handled in accordance with our Privacy Policy. Accepting these terms is not consent to any collection, use or disclosure of personal information beyond what that policy describes.

14. Governing law

These terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of the courts of that place.

15. Changes to these terms

We may update these terms from time to time. Changes take effect when the updated terms are published at kyperx.com/terms and apply to use of the website after that time. An update to these website terms does not retrospectively vary a separate written agreement with KyperX.
